Terms of Service for Logan Builders LLC

1. Agreement to Terms

By engaging the services of Logan Builders LLC ("Agency," "we," "us"), you ("Client," "you") agree to be bound by these Terms of Service. These terms govern the provision of digital marketing services, including but not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing (SMM), and Content Marketing.

2. Services and Scope of Work

The specific services, deliverables, timelines, and fees will be outlined in a separate Service Agreement or Statement of Work (SOW) signed by both parties. Any work requested by the Client outside of the agreed-upon scope will be considered a new project and will require a separate agreement.

3. Client Obligations

The Client agrees to provide the Agency with timely access to all necessary materials, data, and personnel required to perform the services. This includes access to website backends, advertising accounts, analytics platforms, and other relevant assets. Delays in providing these resources may result in project timeline adjustments.

4. Payment Terms

Payment for services will be made according to the schedule outlined in the Service Agreement. Invoices are due upon receipt unless otherwise specified. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law. The Agency reserves the right to suspend services for overdue accounts.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of the engagement. This includes business strategies, client data, campaign performance, and other non-public information. This obligation extends beyond the termination of the service agreement.

6. Intellectual Property

Upon full payment for the services, the Client shall own the rights to all final deliverables created by the Agency specifically for the Client, such as custom ad copy, blog posts, and reports. The Agency retains the right to use its pre-existing tools, methodologies, and general know-how. The Agency may also use the project for its portfolio and marketing purposes, subject to confidentiality obligations.

7. Limitation of Liability

The Agency will perform its services with reasonable skill and care. However, we do not guarantee specific results, such as a #1 ranking on search engines or a specific number of leads. The digital marketing landscape is constantly changing, and outcomes can be affected by factors beyond our control. In no event shall Logan Builders LLC be liable for any lost profits, or any indirect, special, incidental, or consequential damages arising out of or in connection with our services.

8. Term and Termination

The term of the agreement will be specified in the SOW. Either party may terminate the agreement with 30 days' written notice. The Agency may terminate the agreement immediately if the Client breaches any material term of this agreement. Upon termination, the Client is responsible for paying for all services rendered up to the termination date.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Logan Builders LLC is registered, without regard to its conflict of law principles.
